END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single business entity) (“you” or the “Customer”) and Hive Media Control Ltd, including its subsidiaries (“Hive Media Control Ltd”, “Hive”, “we”, “us”, “our”), governing your use of:

  1. The Hive software pre-installed on and/or supplied with Hive proprietary hardware devices, including but not limited to media server software, render engines, browser-based user interfaces, web servers, controller utilities, firmware, and monitoring/management tools (collectively, the “Device Software”); and

  2. The HiveCloud service, which is an AWS-hosted remote access bridge application providing authenticated access to your devices via an Auth0-secured login (“HiveCloud”).

By installing, activating, accessing, or using any part of the Device Software or HiveCloud (together, the “Software and Services”), you agree to be bound by this EULA. If you do not agree, you must not install, activate, access, or use the Software and Services.

This EULA is in addition to (and does not replace):

  • Hive Media Control Ltd’s General Terms and Conditions of Sale (“GTCS”), which apply to purchases of Hive hardware and any associated goods; and

  • Hive Media Control Ltd’s Privacy Policy, which describes how we collect, use, and protect personal data.

In the event of a conflict: the GTCS govern hardware purchase terms; this EULA governs software licensing and permitted use; and the Privacy Policy governs data handling.


1. LICENSE GRANT – DEVICE SOFTWARE

1.1 License.
Subject to your full and ongoing compliance with this EULA, Hive grants you a limited, non-exclusive, non-transferable (except as set out in Clause 1.4), revocable licence to use the Device Software solely:

  • on the Hive hardware device(s) on which it is supplied or for which it is licensed, and

  • for the purpose of operating that Hive device in the normal and intended manner.

1.2 Hardware-Locked Execution.
The Device Software is protected by technical measures that restrict execution and/or feature access to authorised Hive hardware only. You agree not to attempt to bypass, interfere with, spoof, tamper with, or remove those measures.

1.3 Scope.
This licence covers internal use by you and your organisation for production, rehearsal, demo, installation, broadcast, events, or similar professional use.

1.4 Rental / Sub-Hire.
You are permitted to rent, sub-hire, or otherwise make available your Hive hardware together with the Device Software to a third party for their temporary use (for example, dry-hire of a player/server for an event), provided that:

  • The Device Software remains installed only on Hive hardware.

  • The third party is made aware that their use is subject to this EULA.

  • You remain responsible for any breach of this EULA by that third party.

For clarity: you may rent out Hive systems. You may not copy the Software off the Hive hardware and “rent the software” by itself.

1.5 No Transfer of Ownership.
You are purchasing hardware. You are not purchasing the Software itself. The Device Software is licensed, not sold. Hive and/or its licensors remain the sole owner(s) of all intellectual property rights in and to the Device Software.


2. LICENSE GRANT – HIVECLOUD SERVICE

2.1 HiveCloud Access.
HiveCloud is an online service that (a) brokers secure remote access to your Hive devices, (b) surfaces device status and controls via an authenticated interface, and (c) may provide other remote management/monitoring features over time.

2.2 Account.
Access to HiveCloud requires an Auth0-secured account. You are responsible for keeping your credentials confidential and for all activity carried out using your credentials.

2.3 Free Tier.
If you register up to and including four (4) Hive devices under your HiveCloud account, Hive grants you a limited, revocable, non-exclusive right to access and use HiveCloud for those devices at no subscription charge (“Free Tier”). Hive may at any time (a) impose reasonable usage limits on the Free Tier, (b) change the scope of features available in the Free Tier, or (c) discontinue the Free Tier for new or existing users, subject always to applicable law.

2.4 Paid Tiers.
If you register more than four (4) devices, you agree to subscribe to a paid HiveCloud tier. Paid tiers are offered on a monthly, auto-renewing basis and are cancellable by you at any time with effect from the end of the then-current billing period. Current pricing (exclusive of taxes unless stated otherwise) is:

  • 5 to 16 devices: £28 per month

  • 17 to 32 devices: £60 per month

  • 33 or more devices (unlimited devices on the same account): £98 per month

Hive may update pricing, tiers, or inclusions from time to time. Any change to recurring subscription pricing will apply from the next renewal period after notice.

2.5 Service Nature.
HiveCloud is provided “as is”, “as available”, and may be subject to downtime, latency, maintenance windows, feature changes, suspension, or discontinuation. See Clauses 6 and 9.

2.6 No Unauthorised Multi-Tenancy.
You must not use HiveCloud to provide commercial remote-access services to unrelated third parties as a managed service bureau or “HiveCloud-as-a-service” offering unless you have Hive’s prior written consent.

Providing remote access to your own rented / sub-hired Hive hardware (as described in 1.4) is allowed, provided:

  • You remain the account holder,

  • You remain responsible for activity under your account, and

  • You do not resell HiveCloud access itself as a standalone product.


3. RESTRICTIONS

Except where expressly allowed in this EULA or required by law in a way that cannot be contractually waived, you must NOT (and must not allow any third party to):

3.1 Reverse engineer, decompile, disassemble, derive source code from, decrypt, modify, adapt, translate, patch, alter, or create derivative works of the Device Software or HiveCloud components, in whole or in part.

3.2 Attempt to bypass, defeat, emulate, clone, virtualise, spoof, or otherwise work around any hardware lock, licence enforcement, usage metering, authentication, or other technical protection measure.

3.3 Run, copy, load, or execute any part of the Device Software on any non-Hive hardware or in any non-Hive virtualised/emulated environment.

3.4 Separate, extract, or reuse any bundled component (renderer, browser interface, web server module, utilities, firmware, etc.) except as permitted by normal operation of the Hive hardware.

3.5 Remove, alter, or obscure any proprietary notices, serial numbers, watermarks, attributions, or other identifiers in the Software and Services.

3.6 Use the Software and Services in any way that is unlawful, that infringes third-party rights (including IP and data protection rights), or that could reasonably be expected to damage, disable, overburden, or impair any Hive system or infrastructure.


4. UPDATES, CHANGES, AND SUSPENSION

4.1 Updates and Patches.
Hive may provide (or automatically deploy) updates, bug fixes, security patches, feature enhancements, firmware changes, or other modifications to the Device Software and/or HiveCloud (“Updates”). You consent to receive and install these Updates. Updates may change or remove existing functionality.

4.2 Licence/Access Enforcement.
Hive may, in its reasonable discretion, suspend or limit functionality of the Device Software and/or HiveCloud if:

  • you are in material breach of this EULA, including non-payment of applicable HiveCloud subscription fees, or

  • Hive reasonably suspects unauthorised access, tampering, or fraud.

4.3 Availability.
Hive does not guarantee that any particular feature, workflow, UI, integration, or API will remain available or unchanged for any period of time.


5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership.
All intellectual property rights (including but not limited to patents, copyrights, database rights, trade secrets, design rights, trade marks, know-how, methods, user interface designs, and all other proprietary rights) in and to the Device Software and HiveCloud, and any copies, adaptations, or derivative works, are and shall remain the exclusive property of Hive Media Control Ltd and/or its licensors.

5.2 Feedback.
If you provide suggestions, feedback, bug reports, feature requests, or other input regarding the Software and Services (“Feedback”), you grant Hive a worldwide, irrevocable, perpetual, sublicensable, transferable, royalty-free licence to use that Feedback in any manner and for any purpose, including product development, without obligation or credit to you.


6. NO WARRANTY / “AS IS”

6.1 “As Is”.
To the maximum extent permitted by applicable law, the Device Software and HiveCloud are provided “as is” and “as available,” with all faults and without any warranty of any kind, whether express, implied, statutory, or otherwise. This includes, without limitation, any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, or arising from course of dealing or trade usage.
You acknowledge that complex media systems can fail, crash, desync, or behave unexpectedly, and that network- or cloud-mediated access can be interrupted or degraded.

6.2 Your Responsibility.
You are solely responsible for:

  • implementing redundancy, backups, failover, and safety systems appropriate to the criticality of your show, installation, broadcast, production, or event;

  • validating output before live use; and

  • ensuring that unsafe states (e.g. unintended playback, light output, audio output, or content switching) do not create a risk to people, property, broadcast compliance, or contractual commitments.


7. LIMITATION OF LIABILITY

7.1 Nothing in this EULA limits or excludes Hive’s liability for:
(i) death or personal injury caused by Hive’s negligence;
(ii) fraud or fraudulent misrepresentation; or
(iii) any other liability that cannot be limited or excluded by law.

7.2 Subject to Clause 7.1, to the fullest extent permitted by law, Hive shall not be liable to you (whether in contract, tort (including negligence), breach of statutory duty, indemnity, misrepresentation or otherwise) for any:

  • business interruption;

  • loss of profits or anticipated profits;

  • loss of revenue;

  • loss of business or contracts;

  • loss of savings or anticipated savings;

  • cost of procuring substitute goods or services;

  • loss of data, content, media assets, presets, timelines, or configurations;

  • special, indirect, incidental, consequential, punitive, or exemplary damages;

  • reputational damage;

  • claims by your own clients, audiences, broadcasters, or end customers.

7.3 Subject to Clause 7.1, Hive’s total aggregate liability to you arising out of or in connection with this EULA, the Device Software, HiveCloud, or the Software and Services (whether in contract, tort (including negligence), breach of statutory duty or otherwise) shall in no circumstances exceed:

  • for claims relating to or arising from Hive hardware purchased by you, the total amounts actually paid by you to Hive for the specific Hive hardware unit to which the claim relates; and

  • for claims relating solely to HiveCloud subscription fees, the total subscription fees you actually paid to Hive for HiveCloud in the three (3) months immediately preceding the event giving rise to the claim.

7.4 You acknowledge that:

  • live event, broadcast, installation, and production environments can involve significant commercial exposure, and

  • the limitations and exclusions in this Clause 7 are a core part of the commercial bargain reflected in Hive’s pricing and offering.

These limitations are in addition to, and consistent with, the limitation of liability sections in Hive’s GTCS.


8. TERM AND TERMINATION

8.1 Term – Device Software.
Your licence to use the Device Software begins when you first install, activate, or use the Device Software and continues unless and until terminated under this Clause 8.

8.2 Term – HiveCloud.
Your right to access HiveCloud begins when you create an account or first use HiveCloud and continues on a rolling monthly basis for paid tiers, or until Hive withdraws or suspends the Free Tier, or until terminated under this Clause 8.

8.3 Termination by Hive.
Hive may suspend or terminate your rights under this EULA immediately (in whole or in part) if:

  • you materially breach this EULA and (where capable of remedy) fail to cure that breach promptly after notice;

  • you attempt to defeat the hardware lock or otherwise violate Clause 3;

  • you use HiveCloud without paying applicable subscription fees;

  • required by law, court order, or government demand.

8.4 Effect of Termination.
Upon termination:

  • You must stop using the Software and Services immediately (except that you may continue to operate the Device Software strictly to the extent technically necessary to shut down, safely offload content, or render the Hive hardware inert in a safe state).

  • Hive may remotely disable HiveCloud access and/or certain functionality, including but not limited to remote control features.

  • Clauses 3, 5, 6, 7, 8.4, 9, and 10 survive termination.

Termination of this EULA does not of itself terminate or unwind your hardware purchase contract under the GTCS, or any outstanding payment obligations.


9. DATA, PRIVACY, AND SECURITY

9.1 Privacy Policy.
Your use of HiveCloud and any network-connected Device Software is subject to Hive’s Privacy Policy, which explains how we collect, use, store, transfer, and disclose personal data (including device metadata, login credentials, IP addresses, access logs, and usage analytics).

9.2 Telemetry / Diagnostics.
You agree that Hive may collect device diagnostics, crash logs, performance metrics, usage data, and related technical information in order to (a) maintain security and licence integrity, (b) deliver support, (c) improve products, and (d) enforce this EULA. Where such data includes personal data, it will be handled in accordance with the Privacy Policy.

9.3 Security.
You acknowledge that (i) no system is perfectly secure, (ii) internet/cloud services involve inherent risk, and (iii) you are responsible for implementing appropriate internal safeguards, access controls, network segmentation, and operational security.


10. GENERAL LEGAL TERMS

10.1 Governing Law and Jurisdiction.
This EULA (and any non-contractual disputes or claims arising out of or in connection with it) shall be exclusively governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law rules. The Parties submit to the exclusive jurisdiction of the courts of the United Kingdom, except that Hive may, at its sole discretion, bring proceedings against you in the courts having jurisdiction over your domicile.

10.2 Force Majeure.
Hive shall not be liable for any delay or failure to perform to the extent caused by a Force Majeure Event, meaning any event or circumstance beyond Hive’s reasonable control, including but not limited to natural disasters, extreme weather, war, terrorism, strikes, labour disputes, civil unrest, embargoes, government actions, interruption of utilities or networks, shortages of materials, failures of hosting providers, failures of upstream carriers, pandemics, epidemics, quarantine restrictions, fire, flood, or acts of God.

10.3 Confidentiality.
You agree not to disclose Hive’s confidential information (including but not limited to non-public product information, roadmaps, feature designs, performance data, licence keys, remote access methods, and all other commercially sensitive information) to any third party, except where (i) required by law; or (ii) disclosed to your own employees/contractors who have a strict need to know and are bound by confidentiality obligations at least as protective as this Clause.

10.4 Severability.
If any provision of this EULA is found by a court to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

10.5 Entire Agreement (Software).
This EULA constitutes the entire agreement between you and Hive regarding the Software and Services. It supersedes all prior or contemporaneous understandings relating specifically to licensing and use of the Device Software and HiveCloud.
However, this EULA does not replace or limit:

  • Hive’s General Terms and Conditions of Sale (which continue to govern hardware sales, pricing, payment, delivery, warranty on physical goods, title, risk, etc.), and

  • Hive’s Privacy Policy (which continues to govern personal data and privacy).

To the extent of any conflict between this EULA and the GTCS regarding software licensing and use, this EULA controls. To the extent of any conflict regarding hardware purchase, delivery, payment, warranty of physical goods, or limitation of liability for supplied goods, the GTCS controls.

10.6 Changes to this EULA.
Hive may update this EULA from time to time. The updated EULA will take effect when presented to you via the Software and Services (for example, via splash screen, login banner, firmware update process, or HiveCloud login). Your continued use of the Software and Services after that point will constitute your acceptance of the updated EULA.
